# Villkor (2025)

## 1 Allmänna dispositioner och definitioner

In den vorliegenden allgemeinen Geschäftsbedingungen versteht sich unter:

I dessa villkor betyder följande termer:

"Rotary International": Rotarys centrala organisation som ger logistiskt och strukturellt stöd till nationella divisioner.

"Rotary": Rotaryorganisationer i distriktets territorium som använder Polaris (nedan kallat "Rotary" och "Vi").

"Användare": Varje medlem (inklusive, i förekommande fall, den blivande medlemmen eller annan gäst-icke Rotarian) i en rotaryklubb eller ett distrikt som är registrerat i Polaris plattform och därför beviljas nyttjanderätt.

"Integritetspolicy": Dokument som finns tillgängligt på vår webbplats och innehåller all information om dina personuppgifter och den användning som Rotary använder.

Användningen av våra tjänster åtföljs alltid av de rättigheter och skyldigheter som nämns i dessa villkor (nedan kallade "Villkoren"). Hänvisningen till dessa villkor innehåller implicit en hänvisning till sekretesspolicyn. Inget undantag från dessa villkor är tillåtet. Dessa allmänna villkor får endast upphävas om de är ömsesidigt överenskomna och sådana avvikelser registreras skriftligen. Dessa särskilda bestämmelser gäller endast den del som de avviker från. Övriga bestämmelser i villkoren förblir i alla fall tillämpliga..

Dessa villkor gäller både Rotary och användaren. Du betraktas som en användare från det ögonblick du använder tjänsten, oavsett om du har registrerat dig tidigare eller inte. Genom att helt enkelt använda tjänsten antas du ha erkänt och uttryckligen accepterat den slutliga och exklusiva tillämpningen av dessa villkor. Så se till att ha läst och förstått alla villkor.

Rotary förbehåller sig rätten att ändra dessa villkor när som helst. Användaren kommer alltid att hållas informerad om eventuella ändringar.

## 2 Polaris mål

Med Polaris vill Rotary implementera en stark datorisering av ledningen för medlemmarna i rotaryklubbar och distrikt som använder Polaris och intensifiera medlemmarnas information. RCS ansvarar för utvecklingen och driften av denna plattform.

Polaris fyller i första hand en viktig roll i organisationen av klubbar och distrikt genom olika funktioner såsom en evenemangskalender, ett möteshanteringssystem, ett dokumenthanteringssystem för mötesrapporter etc. Polaris tillhandahåller därför ett CMS (Content Management System), en typ av virtuell arbetsyta som gör det möjligt för användare att lägga till innehåll, ändra det eller till och med ta bort det.

Dessutom fungerar Polaris som en bro mellan lokala klubbar och distrikt å ena sidan och Rotarys nationella organisation å andra sidan. Plattformen låter dig hantera medlemsfilen, som är tillgänglig för auktoriserade medlemmar som Rotary-medlemmar. Denna medlemsfil säkerställer effektiv kommunikation mellan medlemmar och mellan medlemmar och deras klubbar, distrikt eller den nationella centrala rotaryorganisationen. Du hittar all information om insamling av dina personuppgifter i vår integritetspolicy.

Denna medlemsfil gör det möjligt för Rotary att utföra sina uppgifter mer effektivt. Rotary kommer sedan att använda plattformen för sändning av allmänna meddelanden och katalogen. Rotary kommer inte att begränsas till ovanstående operationer, men kommer endast att använda databasen för de uppgifter som tilldelats den.

Slutligen fungerar Polaris som en bro mellan lokala klubbar och distrikt å ena sidan och Rotary International å andra sidan. Klubbtillhörighet till Rotary International innebär datautbyte med Rotary International.

Ovan nämnda Polaris mål och funktioner kan när som helst anpassas och/eller kompletteras av Rotary.

## 3 Tillgång och rätt att använda Polaris

3.1 Åtkomst och inskription

Åtkomst till Polaris plattform är delvis öppen för alla användare. Inloggningen, till exempel medlemmarnas data, är begränsad till de tidigare registrerade användarna. Alla medlemmar i en rotaryklubb har i princip rätt att registrera sig i Polaris.

Registrering på plattformen innebär skapandet av en unik och personlig användarprofil. Varje rotaryklubb utser en person som ansvarar för tillgång till och registrering av sina medlemmar i Polaris. Den här personen är ansvarig för att tilldela de uppgifter som krävs för anslutningen, nämligen användarens namn, dess e-postadress och dess åtkomstkod.

Nyttjanderätten beviljas på ett icke-exklusivt och icke-överförbart sätt till alla registrerade användare.

Som en allmän regel tilldelas denna nyttjanderätt under rotarymedlemskapets löptid.

Rätten att använda upphör automatiskt när medlemskapet i en rotaryklubb upphör. Dessutom kan nyttjanderätten när som helst, och trots den fortsatta anknytningen till Rotary, sägas upp tillfälligt eller permanent när användaren agerar i strid med dessa allmänna villkor, andra villkor som uttryckligen föreskrivs, av gällande lagstiftning och/ eller trots den goda tro som förväntas av någon användare. Uppsägningen kan ske utan förvarning. Slutligen kan Rotary när som helst ensidigt besluta att tillfälligt inaktivera plattformen, begränsa den eller avsluta den om det behövs för att säkerställa att Polaris-plattformen fungerar korrekt och är säker. Denna ensidiga uppsägning ger aldrig upphov till någon som helst form av kompensation.

Varje användarprofil är alltid strikt personlig och konfidentiell. I vilket fall som helst är det förbjudet att logga in på eller dela en annan användares användarprofil. Användaren kan inte överföra sin användarprofil till en tredje part. Dessutom måste alla användare upprätthålla konfidentialiteten för sin användarprofil, till exempel genom att välja ett lösenord. Användare rekommenderas att vara försiktiga i alla situationer där deras åtkomstdata lämnas ut eller kan komma att lämnas ut till tredje part. Alla användare som finner en överträdelse av sekretessen för sin profil är skyldiga att informera Rotary så att lämpliga korrigerande åtgärder vidtas.

Vi fäster stor vikt vid våra användares kräsna förmåga, särskilt våra minderåriga användare. Det är därför vi tror att du måste ha uppnått minimiåldern för femton (15) år för att få använda tjänsten.

3.2 Användarprofil

Den viktigaste förutsättningen för nyttjanderätten är att skapa en användarprofil. Denna användarprofil innehåller i huvudsak all nödvändig kontaktinformation för användare, men kan kompletteras av Rotary, användaren själv eller någon tredje part och/eller en ansvarig funktionär. När det gäller behandling av personuppgifter hänvisar vi härmed till vår integritetspolicy.

Alla användare förklarar sig ha tagit hänsyn till det faktum att Polaris tillämpar en grundläggande synlighet för sin användarprofil och ytterligare information gentemot andra användare. Användaren själv är huvudsakligen ansvarig för eventuella tillägg, ändringar, korrigeringar, borttagningar etc. av sina uppgifter. Allt tillägg av innehåll till plattformen sker på användarens ansvar. Alla användare är ansvariga för fullständigheten, noggrannheten och sanningshalten i den information som kommuniceras på plattformen. Rotary är inte skyldigt att verifiera information i detta avseende.

Alla användare har därför de nödvändiga medlen för att göra ändringar för att förhindra spridning av olämpliga uppgifter. Om denna eventualitet visar sig vara otillräcklig kan användaren också delvis begränsa synligheten för sina data genom att göra ändringar i sekretessinställningarna när de är anslutna. Slutligen har Rotary vidtagit nödvändiga åtgärder för att vid behov reservera tillgång till vissa sidor på plattformen till ansvariga funktionärer.

Sammanfattningsvis är användaren ensam ansvarig för allt innehåll som tillhandahålls på plattformen, inklusive riktigheten, fullständigheten, beslagtagandet och underhållet av uppgifterna. Rotary förbehåller sig dock rätten att ta bort alla former av olämpligt innehåll från plattformen, och tillämpar ur denna synvinkel en bred diskretionär makt mot bakgrund av Polaris mål. Om användaren uttryckligen ger tillstånd till andra användare att se hela innehållet i sin profil ansvarar Rotary inte för sådana användares handlingar.

## 4 Användarens ansvar

Alla användare åtar sig att endast använda Polaris inom ramen för målen för denna plattform, enligt definitionen i dessa allmänna villkor. Användaren samtycker till att endast i gott förtroende använda den rätt som tilldelats honom. Som ett resultat kommer han inte att kunna använda sin användarprofil för olagliga handlingar, inklusive beställning av brott.

Användare måste avstå från alla handlingar som kan hindra allmän åtkomst till plattformen och äventyra plattformens tillförlitlighet och säkerhet. Användaren samtycker till att inte utföra någon manipulation som kan lägga en oproportionerlig börda på infrastrukturen på Polaris-plattformen.

Användaren är ensam ansvarig för alla virus eller skadliga filer som han lägger till Polaris-plattformen. Varje överträdelse av denna bestämmelse ska rapporteras till Rotary.

Alla användare är personligen ansvariga för allt innehåll som han lägger till i Polaris. Därför måste användaren se till att detta innehåll inte strider mot allmän ordning eller moral, gällande lagstiftning, tredje parts och andra användares rättigheter, "regler för normalt beteende" och inte utgör en kränkning av tredje parts immateriella rättigheter. Normala uppföranderegler omfattar att avstå från bedrägligt, skadligt eller diskriminerande beteende. Rotary är inte heller skyldigt att verifiera informationen i detta avseende a priori.

Användare är också skyldiga att respektera andra användares rättigheter. Det är förbjudet för någon användare att systematiskt eller i stor utsträckning samla in innehåll eller information från andra användare. Alla användare måste också avstå från obehörig reklam och någon form av olaglig eller obehörig marknadsföring i Polaris.

Användaren måste avstå från alla handlingar som strider mot dessa villkor eller från användningen av Polaris-plattformen i god tro. Rotary kommer inte på något sätt att hållas ansvarigt för sådana åtgärder och eventuella skador som de kan orsaka tredje part eller andra användare.

Alla former av olagligt beteende ger upphov till sanktioner mot användaren. Rotary förbehåller sig ett stort utrymme för skönsmässig bedömning att vidta rimliga åtgärder, inklusive möjligheten att omedelbart och utan ytterligare formkrav säga upp den nyttjanderätt som användaren beviljas. Dessutom kan Rotary vidta de (extra) rättsliga åtgärder som krävs för att få ersättning för den skada som lidits.

## 5 Rotarys ansvar

Rotary har åtagit sig att vidta alla nödvändiga tekniska och rättsliga åtgärder för att säkerställa att plattformen fungerar väl och är säker. Rotary visar en realistisk inställning till sin plattform och säger härmed uttryckligen att dess ansvar inte kan ifrågasättas i följande fall. Polaris görs tillgänglig "som det ser ut". Alla användare är medvetna om att de använder plattformen på egen risk.

Därför kan Rotary inte garantera att dess plattform kommer att vara tillgänglig när som helst, eller att något avbrott eller avbrott i tjänsten kommer att uppstå. Vid behov kommer Rotary att lösa problemet så snart som möjligt. Rotary kan därför inte hållas ansvarigt för någon typ av direkt eller indirekt skada till följd av sådana avbrott eller störningar.

Rotary kan inte hållas ansvarigt för användares och tredje parts handlingar, oavsett om användningen av plattformen är olaglig och/eller missbrukas. Trots alla rimliga försiktighetsåtgärder är det inte otänkbart att användarnas uppgifter kan bli föremål för förlust, stöld, obehörig åtkomst, obehörig ändring eller annan skadlig handling. Rotary kan inte hållas ansvarigt.

Plattformen kan innehålla länkar till andra webbplatser som drivs av tredje part. Dessa webbplatser är helt oberoende av Polaris och det faktum att dessa webbplatser nämns innebär inte att Rotary godkänner eller rekommenderar dem. Eftersom Rotary inte kontrollerar något innehåll eller någon teknik på dessa webbplatser kan Rotary inte hållas ansvarigt för direkta eller indirekta skador till följd av användningen av dessa externa webbplatser.

Rotary kan inte hållas ansvarigt för innehåll som är laddat och/eller publicerat av en användare i Polaris.

## 6 Pris

Användningen av plattformen faktureras av RCSfrån Schweiz till de olika distrikten beroende på antalet klubbar de grupperar och med ett paket per klubb och år. Hur distrikten fakturerar klubbar eller medlemmar skiljer sig från den ena till den andra.

Betalning sker för närvarande via banköverföring men kan så småningom göras på Polaris webbplats.

## 7 Immateriella rättigheter

Polaris innehåller data och filer från Rotary, användare och tredje part som skyddas av tillämplig lagstiftning om immateriella rättigheter. Immateriella rättigheter inkluderar upphovsrätt, varumärkesrätt, designrättigheter, databankslagstiftning och andra (immateriella rättigheter) som gäller.

Användningen av Polaris innebär inte en överlåtelse av nämnda immateriella rättigheter till användaren. Användningen av skyddade data och filer är begränsad till Polaris allmänna syfte enligt beskrivningen i dessa villkor.

Användaren som lägger till innehåll i Polaris förklarar uttryckligen att han har nödvändiga immateriella rättigheter eller tillstånd. För allt innehåll som omfattas av immateriella rättigheter beviljar användaren en icke-exklusiv, överförbar, royaltyfri och världsomspännande licens till Rotary för användning av detta innehåll under Polaris.

Denna licens upphör inte automatiskt när den individuella nyttjanderätten upphör att gälla, vilket innebär att innehållet i princip förblir synligt av Rotary och användare. Rotary förbinder sig att säga upp denna licens på skriftlig och personlig begäran från en tidigare Polaris-användare. Detta åtagande innebär att innehåll som inte längre kommer att vara synligt för andra användare tas bort.

Alla användare ska avstå från varje intrång i dessa immateriella rättigheter, utom i de fall då ett tillstånd har beviljats. Under alla omständigheter måste användaren lämna de omnämnanden och/eller meddelanden som rör de immateriella rättigheterna intakta.

## 8 Sekretess och behandling av personuppgifter

8.1 Allmänt

De personuppgifter som användaren tillhandahåller samlas in och behandlas av Rotary. Rotary försäkrar sina användare att det fäster största vikt vid skyddet av deras integritet och deras känsliga eller icke-känsliga personuppgifter och att det alltid åtar sig att kommunicera tydligt och transparent på denna punkt. Rotary åtar sig att följa tillämplig lagstiftning, särskilt GDPR (Dataskyddsförordningen). Du hittar mer information om behandlingen av dina personuppgifter i vår integritetspolicy.

Rotary behandlar personuppgifter så länge som det behövs för att utföra tjänsten. Från det ögonblick användaren beslutar att sluta använda tjänsten måste Rotary avsluta all behandling av personuppgifter, annat än nödvändigt för radering eller retur av data till användaren.

När så är möjligt ska Rotary hjälpa användaren att fullgöra sin skyldighet att svara på förfrågningar om utövandet av de registrerades rättigheter: rätt till tillgång, rättelse, radering och invändning, rätt till begränsning av behandlingen, rätt till portabilitet av uppgifter, rätt att inte bli föremål för ett individuellt automatiserat beslut (inklusive profilering). Rotary International (RI) lagrar vissa uppgifter från en avliden eller avgående rotarymedlem, såsom hens efternamn, förnamn och födelsedatum, detta som information om medlemmarna.

Rotary har rätt att göra en eller flera kopior och/eller backupper av personuppgifter. De berörda personuppgifterna har samma skydd som de ursprungliga personuppgifterna.

Rotary registrerar de bearbetningsaktiviteter som utförs för användaren. Detta register kan vara i elektronisk form. Den skall innehålla alla de uppgifter som avses i Artikel 30.2, Dataskyddsförordningen.

Rotary garanterar att dess personal kommer att ha begränsad tillgång till personuppgifter endast i den utsträckning som sådan tillgång är nödvändig för att genomföra utförandet av tjänster. Rotarys personal omfattas också av tystnadsplikt när det gäller behandling av personuppgifter. Rotary har åtagit sig att informera sin personal om integritetslagstiftning och avtalsbestämmelser.

8.2 Sekretess

Enligt Dataskyddsförordningen är Rotary skyldigt att tillämpa sekretess/tystnadsplikt när det gäller personuppgifter som behandlas i samband med tjänsten. Denna tystnadsplikt gäller även rotarypersonal och framtida underleverantörer och deras egen personal.

Denna tystnadsplikt träder i kraft så snart Rotarys lagring av användarens säkerhetskopior av data tas i bruk.

Denna tystnadsplikt gäller inte när Rotary är skyldigt att lämna ut personuppgifter till tillsynsmyndigheten, i enlighet med en rättslig bestämmelse eller ett rättsligt beslut, när informationen redan är känd för allmänheten eller om kommunikation av personuppgifter har godkänts av användaren.

8.3 Säkerhetsåtgärder

Enligt Dataskyddsförordningen åtar sig Rotary att genomföra tekniska och organisatoriska åtgärder (nedan kallade säkerhetsåtgärder) för att skydda personuppgifter mot förstörelse, antingen av misstag, oavsett om de sker olagligt, mot förlust, bedrägeri, spridning eller obehörig åtkomst eller mot någon annan form av olaglig behandling eller användning.

Dessa säkerhetsåtgärder garanterar en säkerhetsnivå som är anpassad till den risk som behandlingen medför. Vid fastställandet av lämpliga säkerhetsåtgärder skall parterna ta hänsyn till den senaste tekniken, kostnaderna för genomförandet och behandlingens art, omfattning, sammanhang och syfte samt riskerna för de berörda personernas fri- och rättigheter.

Rotary strävar efter att göra allt som är rimligt för att säkerställa att deras behandlingssystem och tjänster uppfyller kraven på fortlöpande sekretess, integritet, tillgänglighet och motståndskraft, med beaktande av den senaste tekniken och kostnaderna för genomförandet.

8.4 Anmälan om dataintrång

Enligt GDPR meddelar Rotary användaren om eventuella överträdelser av personuppgifter så snart som möjligt, och senast 24 timmar efter att ha läst dem. Denna anmälan åtföljs av all användbar dokumentation för att användaren, om nödvändigt, ska kunna meddela denna överträdelse till dataskyddsmyndigheten och/eller till de berörda personerna. Rotary måste meddela användaren följande information: arten av dataöverträdelse, kategorierna och det ungefärliga antalet inblandade personer, kategorierna och det ungefärliga antalet berörda personuppgifter, de sannolika konsekvenserna av dataöverträdelsen och åtgärder som vidtagits för att avhjälpa dataöverträdelsen eller mildra eventuella negativa konsekvenser.

På användarens begäran meddelar Rotary dataöverträdelsen i användarens namn och på användarens vägnar till tillsynsmyndigheten så snart som möjligt och, om möjligt, senast 72 timmar efter att överträdelsen har konstaterats, såvida inte överträdelsen i fråga sannolikt inte kommer att skapa en risk för fysiska personers rättigheter och friheter.

På begäran av användaren meddelar Rotary dataöverträdelsen i användarens namn och på användarens vägnar till de berörda personerna så snart som möjligt, när denna överträdelse sannolikt kommer att skapa en hög risk för fysiska individers rättigheter och friheter.

Beslutet om att informera dataskyddsmyndigheten och/eller de registrerade om ett dataintrång ligger hos användaren.

8.5 Underbearbetning

Rotary måste se till att underleverantörer ger samma garantier för genomförandet av lämpliga tekniska och organisatoriska åtgärder, så att behandlingen uppfyller kraven i Dataskyddsförordningen, inklusive artikel 32 i GDPR.

## 9 Force majeure

Vid force majeure är Rotary inte skyldigt att uppfylla sina åtaganden gentemot andra parter, inklusive användare. Force Majeure innebär alla situationer utanför Rotarys kontroll som förhindrar att alla eller något av dess åtaganden fullgöras i framtiden. Detta undantag från fullgörandet av Rotarys åtaganden gäller endast under force majeure-perioden.

## 10 Tillämplig lag och behörig jurisdiktion

Denna integritetspolicy styrs uteslutande av europeisk lag, med Sverige som referens. I händelse av tvist är parterna överens om att i första hand söka en uppgörelse i godo. I avsaknad av en uppgörelse i godo kommer tvisten att överlämnas till domstolarna i kantonen Zürich (Schweiz).

## 1 General dispositions and definitions

In these Terms and Conditions, the following terms mean:

« Rotary International »: Rotary's central organization that provides logistical and structural support to national divisions;

« Rotary »: Rotary organizations in the district territory using Polaris (hereinafter « Rotary » and « We »);

« User »: Any member (including, if applicable, the aspiring member or other non-Rotarien guest) of a Rotary club or district registered on Polaris platform and is therefore granted a right of use;

« Privacy Policy »: Document available on our website, containing all information about your personal data and the use that is made by Rotary.

The use of our services is always accompanied by the rights and obligations mentioned in these Terms and Conditions (hereinafter referred to as the « Terms »). The reference to these Conditions implicitly includes a reference to the Privacy Policy. No derogation from these Conditions is allowed. These General Terms and Conditions may be waived only if mutually agreed upon and such deviations are recorded in writing. These specific provisions apply only to the part to which they derogate. The other provisions of the Conditions remain in any case applicable.

These Terms apply to both Rotary and the User. You are considered a User from the moment you use the service, whether you have registered before or not. By simply using the service you are presumed to have recognized and expressly accepted the final and exclusive application of these Terms. So be sure to have read and understand all the terms.

Rotary reserves the right to modify these Terms at any time. The User will always be kept informed of any changes.

## 2 Objectives of Polaris

With Polaris, Rotary wants to implement a strong computerization of the management of the members of Rotary Clubs and Districts using Polaris and to intensify the information of the members. RCS is responsible for the development and operation of this platform.

Polaris primarily fulfils a vital role in the organization of clubs and districts through various functions such as an events calendar, a meeting management system, a document management system for meeting reports, etc. Polaris therefore provides a Content Management System (CMS), a kind of virtual workspace that allows Users to add content, modify it, or even delete it.

In addition, Polaris serves as a bridge between local clubs and districts on the one hand and the Rotary national organization on the other. The platform allows you to manage the members file, which is accessible to authorized members such as Rotary members. This membership file ensures effective communication between members and between members and their clubs, districts or the national central Rotary organization. You will find all the information concerning the collection of your personal data in our privacy policy.

This membership file allows Rotary to perform its tasks more efficiently. Rotary will then use the platform for the broadcast of general messages and the Directory. Rotary will not be limited to the above operations, but will only use the database for the tasks assigned to it.

Finally, Polaris serves as a bridge between local clubs and districts on the one hand and Rotary International on the other. Club affiliation to Rotary International involves data exchange with Rotary International.

The aforementioned Polaris objectives and features may at any time be adapted and / or supplemented by Rotary.

## 3 Access and right to use Polaris

3.1 Access and inscription

Access to Polaris platform is partly open to any user. The login for example the access to the data of the members is limited to the previously registered Users. Any member of a Rotary club in principle has the right to register on Polaris.

Registration on the platform involves the creation of a unique and personalized User Profile. Each Rotary club appoints a person responsible for access to and registration of its members on Polaris. This person is responsible for assigning the data necessary for the connection, namely the user name, its e-mail address and its access code.

The right of use is granted in a non-exclusive and non-transferable way to any registered User.

As a general rule, this right of use is conferred for the duration of Rotary membership.

The right to use terminates automatically upon termination of membership in a Rotary club. In addition, the right of use may at any time, and despite the continued affiliation to Rotary, be terminated temporarily or permanently when the User acts in violation of these General Conditions, other conditions expressly provided for, of the legislation in force and / or in spite of the good faith expected from any User. This termination may take place without prior notice. Finally, Rotary may at any time unilaterally decide to temporarily disable the platform, limit it or terminate it if necessary to ensure the proper functioning and security of Polaris platform. This unilateral termination never gives rise to any form of compensation whatsoever.

Each User profile is always strictly personal and confidential. In any case, it is forbidden to log on to or share the User profile of another User. The User cannot transfer his User Profile to a third party. In addition, all Users are required to maintain the confidentiality of their User Profile, for example by choosing a password. Users are advised to exercise due care in any situation where their access data is or may be disclosed to third parties. Any User who finds a violation of the confidentiality of his profile, is obliged to inform Rotary so that the appropriate corrective measures are taken.

We attach great importance to the discerning ability of our Users, especially our Minor Users. That's why we believe you must have reached the minimum age of fifteen (15) years to be allowed to use the service.

3.2 User Profile

The main prerequisite for the right of use is the creation of a user profile. This User profile essentially includes all necessary contact information for Users, but may be supplemented by Rotary, the User itself or any third party and / or a mandated User. With regard to the processing of personal data, we hereby refer to our Privacy Policy.

Any User declares to have taken cognizance of the fact that Polaris applies a basic visibility of its User profile and additional information vis-à-vis other Users. The User himself is mainly responsible for any additions, modifications, corrections, deletions, etc. of his data. Any addition of content to the platform will be at the risk of the User. Any User is responsible for the completeness, accuracy and veracity of the information communicated on the platform. Rotary is not required to verify information in this regard.

Any user therefore has the necessary means to make changes to prevent the dissemination of inappropriate data. If this eventuality proves to be insufficient, the User can also partially limit the visibility of his data by making changes to the privacy settings once connected. Finally, Rotary has taken the necessary steps to reserve, if necessary, access to certain pages of the platform to the Mandated Users.

In conclusion, the User is solely responsible for all content provided on the platform, including the accuracy, completeness, appropriation and maintenance of the data. However, Rotary reserves the right to remove any form of inappropriate content from the platform, and from this point of view applies a wide discretionary power in light of the objectives of Polaris. If the User explicitly grants permission to other Users to view the entire content of his profile, Rotary shall not be liable for the actions of such Users.

## 4 Responsability of the user

Any User undertakes to make use of Polaris only within the framework of the objectives of this platform, as defined in these General Conditions. The User agrees to use only in good faith the right conferred on him. As a result, he will not be able to use his user profile for unlawful acts, including the commission of offenses.

Users must refrain from any act likely to impede general access to the platform and compromise the reliability and security of the platform. The User agrees not to perform any manipulation that could impose a disproportionate burden on the infrastructure of Polaris platform.

The User is solely responsible for any virus or harmful file that he adds to Polaris platform. Any breach of this provision shall be reported to Rotary.

Any User is personally responsible for any content that he adds to Polaris. Therefore, the User must ensure that this content is not contrary to public order or morality, the legislation in force, the rights of third parties and other Users, the "rules of normal conduct" and does not constitute a violation of the intellectual property rights of third parties. Normal rules of conduct include abstention from deceptive, malicious or discriminatory behaviour. Similarly, Rotary is not required to verify the information in this regard a priori.

Users are also required to respect the rights of other Users. It is forbidden for any User to systematically or extensively collect the content or information of other Users. Any User must also refrain from unauthorized advertising and any form of illegal or unauthorized marketing on Polaris.

The User must abstain from any act contrary to these Terms and Conditions or from the good faith use of Polaris platform. Rotary will in no way be held responsible for any such actions and any damages they may cause to third parties or other Users.

Any form of unlawful behaviour gives rise to sanctions against the User. Rotary reserves a wide discretion to take reasonable measures, including the ability to terminate the right of use granted to the User immediately and without further form requirements. In addition, Rotary may take the (extra) judicial steps necessary to obtain compensation for the harm suffered.

## 5 Responsability of Rotary

Rotary is committed to taking all necessary technical and legal steps to ensure the proper functioning and security of the platform. Rotary demonstrates a realistic attitude to its platform, and hereby expressly states that its responsibility cannot be questioned in the following cases. Polaris is made available "as is". All Users are aware that they use the platform at their own risk.

Therefore, Rotary cannot guarantee that its platform will be accessible at any time, nor that any interruption or disruption of the service will occur. If necessary, Rotary will resolve the problem as soon as possible. Rotary cannot therefore be held responsible for any type of direct or indirect damage resulting from such interruptions or disturbances.

Rotary cannot be held responsible for the actions of Users and third parties, whether or not the use of the platform is illegal and / or abusive. Notwithstanding all reasonable precautionary measures, it is not inconceivable that Users' data may be subject to loss, theft, unauthorized access, unauthorized alteration or any other harmful act. Rotary cannot be held responsible.

The platform may contain links to other websites operated by third parties. These websites are completely independent of Polaris and the fact that these sites are mentioned does not imply that Rotary approves or recommends them. Because Rotary does not control any content or technology on these websites, Rotary cannot be held responsible for any direct or indirect damages resulting from the use of these external websites.

Rotary cannot be held responsible for contents loaded and/or published by a user on Polaris.

## 6 Price

The use of the platform is billed by the RCS from Switzerland to the different districts according to the number of clubs they group and at the rate of one package per club per year.

The way districts bill clubs or members differs from one to the other.

Payment is currently made by bank transfer but may eventually be made on Polaris website.

## 7 Intellectual property rights

Polaris contains data and files from Rotary, Users, and third parties that are protected by applicable intellectual property rights legislation. Intellectual property rights include copyright, trademark law, design rights, data bank law and any other (intellectual property) right in force.

The use of Polaris does not imply an assignment of said intellectual property rights to the User. The use of protected data and files is limited to the general purpose of Polaris as described in these Terms and Conditions.

The User who adds content to Polaris expressly declares that he has the necessary intellectual property rights or authorization. For any content subject to intellectual property rights, the User grants a non-exclusive, transferable, royalty-free and worldwide license to Rotary for the use of this content under Polaris.

This license does not automatically terminate upon expiration of the individual right of use, which implies that the content remains in principle visible by Rotary and Users. Rotary commits to terminate this license at the written and personal request of any former Polaris User. This commitment implies the removal of content that will no longer be visible by other Users

Any User shall refrain from any infringement of these intellectual property rights, except in cases where an authorization has been granted. In any case, the User must leave intact the mentions and / or notifications relating to the intellectual property rights.

## 8 Privacy and processing of personal data

8.1 Generality

The personal data provided by the User are collected and processed by Rotary. Rotary assures its Users that it attaches the utmost importance to the protection of their privacy and their sensitive or non-sensitive personal data, and that it always undertakes to communicate clearly and transparently on this point. Rotary undertakes to comply with applicable legislation, in particular the RGPD (General Regulation on Data Protection). You will find more information about the processing of your personal data in our Privacy Policy.

Rotary processes personal data as long as necessary to perform the service. From the moment the User decides to stop using the service, Rotary must terminate any processing of personal data, other than necessary for the deletion or return of data to the User.

Whenever possible, Rotary shall assist the User in fulfilling his obligation to respond to requests for the exercise of the rights of data subjects: right of access, rectification, erasure, and opposition, right to limitation of processing, right to portability of data, right not to be the subject of an individual automated decision (including profiling). Rotary International (RI) retains some data from a deceased or departing Rotary member such as his name, first name his date of birth this as information of the members.

Rotary is authorized to make one or more copies and / or back-ups of personal data. The personal data concerned enjoy the same protection as the original personal data.

Rotary keeps a record of the processing activities performed for the User. This register may be in electronic form. It must contain all the information referred to in Article 30.2. of the General Data Protection Regulation.

Rotary guarantees that its personnel will have limited access to personal data only to the extent that such access is necessary to perform service execution operations. Rotary staff are also subject to a confidentiality obligation regarding the processing of personal data. Rotary is committed to informing its staff about privacy legislation and contract provisions.

8.2 Confidentiality

Under the General Data Protection Regulations, Rotary is under an obligation of confidentiality with regard to personal data processed in connection with the service. This confidentiality obligation applies equally to Rotary staff and any future subcontractors and their own personnel.

This obligation of confidentiality takes effect as soon as the storage of the User's backups of data by Rotary is put into service.

This confidentiality obligation does not apply when Rotary is required to disclose personal data to the supervisory authority, by virtue of a legal provision or judicial decision, when the information is already known to the public, or where the communication of personal data has been authorized by the User.

8.3 Security measures

Under the General Data Protection Regulation, Rotary undertakes to implement technical and organizational measures (hereinafter "the security measures") to protect personal data against destruction, either by accident, whether unlawfully, against loss, fraud, dissemination or unauthorized access or against any other form of unlawful processing or use.

These security measures guarantee a level of security adapted to the risk that the treatment entails. In determining the appropriate security measures, the Parties shall take into account the state of the art, the costs of implementation and the nature, scope, context and purpose of the processing as well as the risks to the rights and freedoms of the persons concerned.

Rotary strives to make every reasonable effort to ensure that their processing systems and services meet the requirements of ongoing confidentiality, integrity, availability, and resiliency, taking into account the state of the art and the costs of implementation.

8.4 Notification of a data breach

Under the GDPR, Rotary notifies the User of any violation of personal data as soon as possible, and no later than 24 hours after having read it. This notification is accompanied by any useful documentation to enable the User, if necessary, to notify this violation to the data protection authority and / or to the persons concerned. Rotary must communicate to the User the following information: the nature of the data breach, the categories and the approximate number of persons involved, the categories and the approximate number of personal data concerned, the likely consequences of the data breach and measures taken to remedy the data breach or to mitigate any negative consequences.

At the request of the User, Rotary notifies the data breach in the name and on behalf of the User to the supervisory authority as soon as possible and, if possible, not later than 72 hours after finding the violation, unless the violation in question is not likely to create a risk for the rights and freedoms of natural persons.

8.5 Subprocessing

Rotary must ensure that the subprocessor provides the same guarantees for the implementation of appropriate technical and organizational measures, so that the processing meets the requirements of the General Data Protection Regulation, including Article 32 of the GDPR.

## 9 Force majeure

In case of force majeure, Rotary is not obliged to respect its commitments to other parties, including Users. Force Majeure means any situation beyond Rotary's control that prevents the performance of all or any of its commitments in the future. This derogation from the performance of Rotary's commitments is only valid during the period of force majeure.

## 10 Applicable law and competent jurisdiction

These General Conditions are governed exclusively by European law, Sweden being the reference. Any dispute resulting from the contractual or non-contractual obligations of these General Terms and Conditions will be submitted to the courts of the Canton of Zurich (Switzerland).
