1 Disposiciones generales y definiciones
En las presentes Condiciones generales, los siguientes términos hacen referencia a:
«Rotary International»: organización central de Rotary que ofrece apoyo logístico y estructural a las divisiones nacionales;
«Rotary»: organizaciones rotarias del distrito que utilizan Polaris (en adelante, «Rotary» y «Nosotros»);
«Usuario»: cualquier miembro (incluidos en su caso, los aspirantes a socios u otros invitados no rotarios) de un club o distrito rotario inscrito en la plataforma Polaris y al que, por tanto, se le concede el derecho de uso;
«Política de privacidad»: documento disponible en nuestro sitio web que contiene toda la información sobre sus datos personales y el uso que Rotary hace de los mismos.
El uso de nuestros servicios se rige en todo momento por los derechos y obligaciones estipulados en las presentes Condiciones generales (en adelante, las «Condiciones»). La referencia a estas Condiciones implica implícitamente la referencia a la Política de privacidad. No se permite ninguna derogación de estas Condiciones. Estas Condiciones solo podrán derogarse si así se acuerda mutuamente y dichas modificaciones se registran por escrito. Estas disposiciones específicas solo son aplicables a la parte a la que derogan. El resto de disposiciones de las presentes Condiciones continuarán siendo aplicables.
Las presentes Condiciones son aplicables tanto a Rotary como a los Usuarios. Se le considera Usuario desde el momento en que utiliza el servicio, independientemente de si se ha registrado o no con anterioridad. Por el mero hecho de utilizar el servicio, se presume que reconoce y acepta expresamente la aplicación definitiva y exclusiva de las presentes Condiciones. Por lo tanto, asegúrese de haberlas leído y comprendido debidamente.
Rotary se reserva el derecho a modificar las presentes Condiciones en cualquier momento si así lo considera oportuno. Siempre informará debidamente al Usuario acerca de los cambios introducidos.
2 Objetivos de Polaris
Con Polaris, Rotary desea implementar un sistema que permita informatizar la gestión de los socios de los clubes y distritos rotarios e intensificar la información de los socios. RCS es la entidad responsable de desarrollar y operar esta plataforma.
Polaris desempeña un papel esencial en la organización de los clubes y distritos gracias a las diferentes funcionalidades que ofrece, como, por ejemplo, un calendario de eventos, un sistema de gestión de reuniones, un sistema de gestión de documentos para los informes de las asambleas, etc. Polaris ofrece pues un Sistema de Gestión de Contenidos (CMS, por sus siglas en inglés), una especie de espacio de trabajo virtual que permite a los usuarios añadir, editar, o incluso, eliminar contenido.
Asimismo, Polaris también actúa de enlace entre los clubes y los distritos locales, por un lado, y la organización nacional de Rotary, por otro. La plataforma permite gestionar el directorio de socios, al que pueden acceder los miembros autorizados, como los socios de Rotary. Este directorio garantiza una comunicación eficaz entre los socios, así como entre los socios y sus clubes, distritos u organizaciones rotarias nacionales. Encontrará toda la información relativa a la recopilación de sus datos personales en nuestra Política de privacidad.
Este directorio de socios también permite a Rotary desarrollar su actividad con mayor eficacia. Rotary utilizará la plataforma para divulgar comunicaciones de carácter general y el Directorio. Rotary no se limitará a las operaciones mencionadas, si bien solo utilizará la base de datos para llevar a cabo las tareas asignadas.
Por último, Polaris actuará de enlace entre los clubes y los distritos locales, por una parte, y Rotary International, por otra. La afiliación de un club a Rotary International implica el intercambio de datos con el mismo.
Rotary podrá adaptar y complementar los objetivos y funcionalidades de Polaris en cualquier momento si así lo considera oportuno.
3 Acceso y derecho de uso de Polaris
3.1 Acceso y registro
El acceso a la plataforma Polaris está parcialmente abierto a todos los Usuarios. Sin embargo, por ejemplo, el inicio de sesión para acceder al área de miembros está restringido a los usuarios registrados. En principio, todos los socios de un club rotario pueden registrarse en Polaris.
El registro en la plataforma implica la creación de un perfil de usuario único y personalizado. Cada club rotario designa a una persona responsable del acceso y registro de sus miembros en Polaris. Esta persona es la responsable de asignar los datos necesarios para iniciar sesión, es decir, el nombre de usuario, la dirección de correo electrónico y la contraseña de usuario.
A cada usuario registrado se le otorga un derecho no exclusivo e intransferible para utilizar la plataforma de acuerdo con las presentes Condiciones.
En general, este derecho de uso es válido mientras el usuario sea miembro de Rotary.
El derecho a utilizar la plataforma finaliza automáticamente cuando el usuario deja de ser miembro de un club rotario. Este derecho también podrá retirarse de forma temporal o permanente en cualquier momento, aun cuando se sea miembro de un club rotario, si el Usuario infringe las presentes Condiciones, otras condiciones previstas expresamente, de la legislación vigente y/o a pesar de la buena fe que se espera de todo Usuario. El acceso a la plataforma podrá bloquearse sin previo aviso. Por último, Rotary podrá decidir de forma unilateral y en cualquier momento interrumpir temporalmente el acceso a Polaris, en su totalidad o de forma parcial, si ello fuera necesario para garantizar el funcionamiento correcto y la seguridad de Polaris. Esta interrupción no da derecho al usuario a reclamar ningún tipo de indemnización.
Todos los perfiles de Usuario son siempre estrictamente personales y confidenciales. No está permitido utilizar o compartir el perfil de usuario de otro usuario. Un usuario no puede ceder su perfil a un tercero. Asimismo, todos los Usuarios están obligados a mantener la confidencialidad de su Perfil de usuario, por ejemplo, eligiendo una contraseña. Se recomienda a los Usuarios que adopten todas las precauciones necesarias para garantizar que sus datos de acceso no sean o puedan ser revelados a terceros. Si el Usuario tiene conocimiento de que se ha producido una violación de la confidencialidad de su perfil, deberá notificárselo a Rotary a fin de poder adoptar las medidas necesarias.
Otorgamos una gran importancia a la capacidad de discernimiento de nuestros Usuarios, especialmente de nuestros Usuarios menores de edad. Por ello, consideramos que deben tener quince (15) años como mínimo para poder utilizar la plataforma.
3.2 Perfil del usuario
El principal requisito para utilizar la plataforma es la creación previa de un perfil de usuario. Este perfil contiene esencialmente toda la información necesaria sobre el usuario, si bien puede ser completado posteriormente por Rotary, por el propio usuario o por terceros. Consulte nuestra Política de privacidad para obtener información sobre el tratamiento de datos personales.
El Usuario reconoce y declara que Polaris aplica una visibilidad básica de su Perfil de usuario e información adicional frente a otros Usuarios. El propio Usuario es el responsable de cualquier adición, modificación, corrección o supresión etc. de sus datos. Toda adición de contenido a la plataforma será por cuenta y riesgo del Usuario. Cada usuario es responsable de los datos registrados sobre él en la plataforma, en particular en lo que respecta a la integridad, exactitud e idoneidad de la información publicada. Rotary no está obligado a verificar la exactitud de dicha información.
El Usuario dispone pues de todos los medios necesarios para realizar los cambios necesarios a fin de evitar la difusión de datos. En caso que ello resulte insuficiente, el Usuario también puede restringir parcialmente el acceso a sus datos modificando la configuración de privacidad. Rotary también ha adoptado las medidas necesarias para restringir, en caso necesario, el acceso a determinadas páginas de la plataforma a los Usuarios pertinentes.
En conclusión, el Usuario es el único responsable del contenido publicado en la plataforma, incluyendo la integridad, exactitud y mantenimiento de los datos. No obstante, Rotary se reserva el derecho a eliminar de la plataforma contenidos inapropiados a su entera discreción y, en este sentido, aplica un amplio poder discrecional teniendo en cuenta los objetivos de Polaris. Si un Usuario permite expresamente a otros Usuarios acceder a la totalidad del contenido de su perfil, Rotary no será responsable de las acciones que lleven a cabo dichos Usuarios.
4 Responsabilidad del usuario
Todos los Usuarios se comprometen a utilizar Polaris únicamente en el marco de los objetivos de esta plataforma, tal y como se establece en las presentes Condiciones. El Usuario se compromete asimismo a utilizar el derecho que se le concede únicamente de buena fe. En consecuencia, no podrá utilizar su Perfil de usuario para actos ilícitos, incluida la comisión de delitos.
Los usuarios deben abstenerse de realizar cualquier acción que pueda obstaculizar el acceso a la plataforma o comprometer la fiabilidad y seguridad de la misma. El Usuario se compromete asimismo a no realizar ninguna acción que pueda sobrecargar la infraestructura de la plataforma de Polaris.
El usuario es el único responsable de cualquier virus o archivo dañino que importe a la plataforma Polaris. Toda infracción en este respecto deberá comunicarse a Rotary.
Cada Usuario es personalmente responsable del contenido que publique en Polaris. En consecuencia, el Usuario debe velar porque dicho contenido no antente contra el orden público, la moral, la legislación vigente o los derechos de terceros u otros usuarios, las “normas propias de una conducta normal” y no constituya una violación de los derechos de propiedad intelectual de terceros. Entre las normas de conducta normales se incluye no mantener un comportamiento engañoso, malintencionado o discriminatorio. Rotary no está obligado a verificar a priori esta información.
Los Usuarios también están obligados a respetar los derechos de los demás Usuarios. Ningún Usuario podrá recopilar contenido o información de otros Usuarios de forma sistemática o a gran escala. Todos los Usuarios deben abstenerse de publicar publicidad no autorizada o marketing ilegal o no autorizado en Polaris.
Asimismo, los Usuarios deben abstenerse de realizar cualquier acción que infrinja estas Condiciones o el principio de buena fe de la plataforma Polaris. Rotary no asumirá en ningún caso ningún tipo de responsabilidad derivada de dichos actos ni de los daños y perjuicios que los mismos pudieran causar a terceros u otros Usuarios.
Toda conducta inapropiada dará lugar a sanciones contra el Usuario. Rotary se reserva la amplia discreción de adoptar las medidas oportunas, incluyendo el derecho a cancelar inmediatamente el derecho del Usuario a utilizar la plataforma sin previo aviso. Asimismo, Rotary también podrá emprender las acciones extra(judiciales) que considere oportunas para reclamar una indemnización por los daños y perjuicios sufridos.
5 Responsabilidad de Rotary
Rotary se compromete a adoptar todas las medidas técnicas y legales necesarias para garantizar el buen funcionamiento y la seguridad de la plataforma. Rotary mantiene una actitud realista respecto a su plataforma, y por la presente declara expresamente que su responsabilidad no puede ser cuestionada en los siguientes casos. La plataforma Polaris se proporciona “tal cual·. Todos los usuarios comprenden que la utilizan por su cuenta y riesgo.
Por consiguiente, Rotary no puede garantizar que la plataforma sea accesible en todo momento o que no se produzcan interrupciones o fallos de funcionamiento. En tales casos, Rotary intentará resolver el problema lo antes posible. Por lo tanto, Rotary no se hace responsable de los daños directos o indirectos debidos a interrupciones o fallos de funcionamiento.
Rotary tampoco asumirá ningún tipo de responsabilidad derivada de las acciones llevadas a cabo por los Usuarios y terceros, constituyan o no un uso ilegal o indebido de la plataforma. A pesar de adoptar todas las medidas preventivas razonables, no puede excluirse la posibilidad de que los datos de los Usuarios puedan ser objeto de pérdida, robo, acceso no autorizado, alteración no autorizada o cualquier otra acción perjudicial. Rotary no se hace responsable de los mismos.
La plataforma puede contener enlaces a sitios web de terceros. Estos sitios son totalmente independientes de Polaris y su mención no implica que Rotary los recomiende o apruebe. Dado que Rotary no tiene control alguno sobre el contenido o la tecnología de dichos sitios web, no se hace responsable de los daños y perjuicios que pudieran derivarse del uso de estos dichos externos.
Rotary no asumirá asimismo ninguna responsabilidad en relación al contenido que los Usuarios suban/publiquen en Polaris.
6 Precio
RCS cobrará a los distintos distritos una cuota por hacer uso de la plataforma en función del número de clubes que integren, a razón de un paquete por club y año, desde Suiza.
La forma en la que los distritos cobran este servicio a los clubes o miembros difiere de un caso a otro.
Actualmente, el pago se realiza por transferencia bancaria, si bien en el futuro podrá realizarse a través del sitio web de Polaris.
7 Derechos de propiedad intelectual
Polaris contiene datos y archivos de Rotary, Usuarios y terceros que están protegidos por la legislación vigente en materia de propiedad intelectual. Estos derechos incluyen los derechos de autor, las marcas comerciales, los derechos sobre los diseños, la legislación sobre bases de datos, así como cualquier otro derecho de propiedad intelectual.
El uso de Polaris no implica una cesión de los derechos de propiedad intelectual al Usuario. El uso de los datos y archivos protegidos se limita a la finalidad general de Polaris descrita en las presentes Condiciones.
El Usuario que añada contenido a Polaris declara expresamente que dispone de los derechos de propiedad intelectual o la autorización necesarios. Al mismo tiempo, el Usuario autoriza a Rotary a utilizar cualquier contenido sujeto a derechos de propiedad intelectual en Polaris bajo una licencia mundial, no exclusiva, transferible y libre de derechos de autor.
Esta licencia no vence automáticamente al expirar el derecho individual de uso, lo que implica que, en principio Rotary y los Usuarios podrán continuar accediendo al contenido publicado. Rotary se compromete a rescindir esta licencia previa solicitud formulada a nivel personal por escrito por cualquier antiguo Usuario de Polaris. Este compromiso implica la eliminación de dicho contenido, el cual dejará de ser visible para el resto de Usuarios.
Los Usuarios deberán abstenerse de infringir estos derechos de propiedad intelectual, salvo que se haya concedido una autorización específica. En todo caso, el Usuario deberá dejar intactas las menciones y/o notificaciones relativas a los derechos en materia de propiedad intelectual.
8 Privacidad y tratamiento de los datos personales
8.1 Generalidades
Rotary recopila y trata los datos personales facilitados por el Usuario. Rotary garantiza a sus Usuarios que otorga una gran importancia a la protección de su intimidad y datos personales, sensibles o no, por lo que siempre mantendrá una comunicación clara y transparente al respecto. Rotary se compromete asimismo a cumplir la legislación aplicable, en especial, el RGPD (Reglamento General de Protección de Datos). Encontrará más información sobre el tratamiento de sus datos personales en nuestra Política de privacidad.
Rotary tratará los datos personales mientras sea necesario para ofrecerle este servicio. A partir del momento en que el Usuario decida dejar de utilizar este servicio, Rotary deberá dejar de procesar todos los datos personales salvo que sea necesario para eliminar o devolver los datos al Usuario.
Siempre que sea posible, Rotary asistirá al Usuario en relación al cumplimiento de su obligación de atender a las solicitudes de ejercicio de los derechos de los interesados: derecho de acceso, rectificación, eliminación y oposición, derecho a la limitación del tratamiento, a la portabilidad de los datos, y a no ser objeto de una decisión individual automatizada (incluida la elaboración de perfiles). Rotary International (RI) conserva determinados datos de los miembros fallecidos o que se dan de baja de Rotary, como, por ejemplo, su nombre, apellidos, fecha de nacimiento, etc., como información de los socios.
Rotary está autorizado a realizar una o diversas copias y/o copias de seguridad de los datos personales. Estas copias de los datos personales gozan de la misma protección que los datos personales originales.
Rotary registra las actividades de tratamiento realizadas. Este registro podrá realizarse en formato electrónico. Debe contener toda la información indicada en el Artículo 30.2 del Reglamento General de Protección de Datos.
Rotary garantiza que su personal podrá acceder de forma limitada a los datos personales, únicamente en la medida en que dicho acceso sea necesario para garantizar la ejecución del servicio. Asimismo, el personal de Rotary está sujeto a la obligación de mantener la confidencialidad en relación al tratamiento de los datos personales. Rotary se compromete a informar debidamente a su personal sobre la legislación en materia de privacidad y las disposiciones contractuales.
8.2 Confidencialidad
En virtud del Reglamento General de Protección de Datos, Rotary tiene la obligación de garantizar la confidencialidad de los datos personales recopilados y tratados en relación con este servicio. Esta obligación de confidencialidad es aplicable tanto al personal de Rotary como a los futuros subencargados y al personal de los mismos.
Esta obligación de confidencialidad entra en vigor tan pronto como Rotary realiza el almacenamiento de las copias de seguridad de los datos de los Usuarios.
Esta obligación de confidencialidad no será aplicable en aquellos casos en que Rotary deba revelar datos personales a la autoridad supervisora, en virtud de una disposición legal o una decisión judicial, cuando la información ya sea de dominio público o cuando el Usuario haya autorizado la comunicación de los datos personales.
8.3 Medidas de seguridad
En virtud del Reglamento General de Protección de Datos, Rotary se compromete a aplicar las medidas técnicas y organizativas necesarias (en adelante, “las medidas de seguridad”) para proteger los datos personales contra su destrucción, ya sea accidental o ilícita, la pérdida, el fraude, la difusión o el acceso no autorizado, o contra cualquier otra forma de tratamiento o utilización ilícitos.
Estas medidas de seguridad garantizan un nivel de seguridad adaptado al riesgo asociado al tratamiento. A fin de determinar las medidas de seguridad adecuadas, las Partes tendrán en cuenta los últimos avances técnicos, los costes de implementación y la naturaleza, el alcance, el contexto y la finalidad del tratamiento, así como los riesgos para los derechos y libertades de las personas afectadas.
Rotary hace todo lo posible para garantizar que sus sistemas y servicios de tratamiento de datos cumplan los requisitos de confidencialidad, integridad, disponibilidad y resiliencia de forma permanente, teniendo en cuenta la tecnología de vanguardia y los costes de implementación de la misma.
8.4 Notificación de una violación de la seguridad de los datos
En virtud del RGPD, Rotary notificará al Usuario cualquier violación de la seguridad de los datos personales que haya tenido lugar lo antes posible y, a más tardar, en un plazo de 24 horas de tener constancia de la misma. Esta notificación incluirá toda la documentación que pueda resultar de utilidad para que el Usuario pueda, en su caso, notificar la violación de datos a la autoridad de protección de datos y/o a las personas interesadas. Rotary deberá comunicar al Usuario la siguiente información: la naturaleza de la violación de la seguridad de los datos, las categorías y el número aproximado de personas implicadas, las categorías y el número aproximado de datos personales afectados, las consecuencias probables de la violación de la seguridad los datos y las medias adoptadas para resolver esta incidencia o reducir sus posibles consecuencias negativas.
Si el Usuario así lo solicita, Rotary notificará la violación de la seguridad de los datos en nombre y representación del Usuario a la autoridad supervisora lo antes posible y, si es posible, en un plazo máximo de 72 horas después de constatar la violación de datos, a menos que esta no suponga un riesgo para los derechos y libertades de las personas físicas.
Si el Usuario así lo solicita, Rotary notificará la violación de la seguridad de los datos en nombre y en representación del Usuario a las personas afectadas lo antes posible, siempre que dicha violación suponga un riesgo elevado para los derechos y libertades de las personas físicas.
La decisión de informar o no a la autoridad de protección de datos y/o a las personas implicadas corresponde al Usuario.
8.5 Subencargados del tratamiento de datos
Rotary debe garantizar que el subencargado del tratamiento de los datos ofrezca las mismas garantías en cuanto a la aplicación de las medidas técnicas y organizativas adecuadas, de modo que el tratamiento cumpla los requisitos del Reglamento General de Protección de Datos, incluido el artículo 32 del RGPD.
9 Fuerza mayor
En caso de fuerza mayor, Rotary no estará obligada a respetar sus compromisos con otras partes, incluidos los Usuarios. Por fuerza mayor se entenderá toda situación ajena a la voluntad de Rotary que impida el cumplimento de todos o algunos de sus compromisos en el futuro. Esta derogación del cumplimiento de los compromisos de Rotary solo es válida durante el período de fuerza mayor.
10 Legislación aplicable y jurisdicción competente
Las presentes Condiciones generales se rigen exclusivamente por la legislación europea, siendo <país> el país de referencia. Cualquier litigio derivado de las obligaciones contractuales o extracontractuales de las presentes Condiciones generales se someterá a los tribunales del cantón de Zúrich (Suiza).

1 General dispositions and definitions
In these Terms and Conditions, the following terms mean:
« Rotary International »: Rotary's central organization that provides logistical and structural support to national divisions;
« Rotary »: Rotary organizations in the district territory using Polaris (hereinafter « Rotary » and « We »);
« User »: Any member (including, if applicable, the aspiring member or other non-Rotarien guest) of a Rotary club or district registered on Polaris platform and is therefore granted a right of use;
« Privacy Policy »: Document available on our website, containing all information about your personal data and the use that is made by Rotary.
The use of our services is always accompanied by the rights and obligations mentioned in these Terms and Conditions (hereinafter referred to as the « Terms »). The reference to these Conditions implicitly includes a reference to the Privacy Policy. No derogation from these Conditions is allowed. These General Terms and Conditions may be waived only if mutually agreed upon and such deviations are recorded in writing. These specific provisions apply only to the part to which they derogate. The other provisions of the Conditions remain in any case applicable.
These Terms apply to both Rotary and the User. You are considered a User from the moment you use the service, whether you have registered before or not. By simply using the service you are presumed to have recognized and expressly accepted the final and exclusive application of these Terms. So be sure to have read and understand all the terms.
Rotary reserves the right to modify these Terms at any time. The User will always be kept informed of any changes.
2 Objectives of Polaris
With Polaris, Rotary wants to implement a strong computerization of the management of the members of Rotary Clubs and Districts using Polaris and to intensify the information of the members. RCS is responsible for the development and operation of this platform.
Polaris primarily fulfils a vital role in the organization of clubs and districts through various functions such as an events calendar, a meeting management system, a document management system for meeting reports, etc. Polaris therefore provides a Content Management System (CMS), a kind of virtual workspace that allows Users to add content, modify it, or even delete it.
In addition, Polaris serves as a bridge between local clubs and districts on the one hand and the Rotary national organization on the other. The platform allows you to manage the members file, which is accessible to authorized members such as Rotary members. This membership file ensures effective communication between members and between members and their clubs, districts or the national central Rotary organization. You will find all the information concerning the collection of your personal data in our privacy policy.
This membership file allows Rotary to perform its tasks more efficiently. Rotary will then use the platform for the broadcast of general messages and the Directory. Rotary will not be limited to the above operations, but will only use the database for the tasks assigned to it.
Finally, Polaris serves as a bridge between local clubs and districts on the one hand and Rotary International on the other. Club affiliation to Rotary International involves data exchange with Rotary International.
The aforementioned Polaris objectives and features may at any time be adapted and / or supplemented by Rotary.
3 Access and right to use Polaris
3.1 Access and inscription
Access to Polaris platform is partly open to any user. The login for example the access to the data of the members is limited to the previously registered Users. Any member of a Rotary club in principle has the right to register on Polaris.
Registration on the platform involves the creation of a unique and personalized User Profile. Each Rotary club appoints a person responsible for access to and registration of its members on Polaris. This person is responsible for assigning the data necessary for the connection, namely the user name, its e-mail address and its access code.
The right of use is granted in a non-exclusive and non-transferable way to any registered User.
As a general rule, this right of use is conferred for the duration of Rotary membership.
The right to use terminates automatically upon termination of membership in a Rotary club. In addition, the right of use may at any time, and despite the continued affiliation to Rotary, be terminated temporarily or permanently when the User acts in violation of these General Conditions, other conditions expressly provided for, of the legislation in force and / or in spite of the good faith expected from any User. This termination may take place without prior notice. Finally, Rotary may at any time unilaterally decide to temporarily disable the platform, limit it or terminate it if necessary to ensure the proper functioning and security of Polaris platform. This unilateral termination never gives rise to any form of compensation whatsoever.
Each User profile is always strictly personal and confidential. In any case, it is forbidden to log on to or share the User profile of another User. The User cannot transfer his User Profile to a third party. In addition, all Users are required to maintain the confidentiality of their User Profile, for example by choosing a password. Users are advised to exercise due care in any situation where their access data is or may be disclosed to third parties. Any User who finds a violation of the confidentiality of his profile, is obliged to inform Rotary so that the appropriate corrective measures are taken.
We attach great importance to the discerning ability of our Users, especially our Minor Users. That's why we believe you must have reached the minimum age of fifteen (15) years to be allowed to use the service.
3.2 User Profile
The main prerequisite for the right of use is the creation of a user profile. This User profile essentially includes all necessary contact information for Users, but may be supplemented by Rotary, the User itself or any third party and / or a mandated User. With regard to the processing of personal data, we hereby refer to our Privacy Policy.
Any User declares to have taken cognizance of the fact that Polaris applies a basic visibility of its User profile and additional information vis-à-vis other Users. The User himself is mainly responsible for any additions, modifications, corrections, deletions, etc. of his data. Any addition of content to the platform will be at the risk of the User. Any User is responsible for the completeness, accuracy and veracity of the information communicated on the platform. Rotary is not required to verify information in this regard.
Any user therefore has the necessary means to make changes to prevent the dissemination of inappropriate data. If this eventuality proves to be insufficient, the User can also partially limit the visibility of his data by making changes to the privacy settings once connected. Finally, Rotary has taken the necessary steps to reserve, if necessary, access to certain pages of the platform to the Mandated Users.
In conclusion, the User is solely responsible for all content provided on the platform, including the accuracy, completeness, appropriation and maintenance of the data. However, Rotary reserves the right to remove any form of inappropriate content from the platform, and from this point of view applies a wide discretionary power in light of the objectives of Polaris. If the User explicitly grants permission to other Users to view the entire content of his profile, Rotary shall not be liable for the actions of such Users.
4 Responsability of the user
Any User undertakes to make use of Polaris only within the framework of the objectives of this platform, as defined in these General Conditions. The User agrees to use only in good faith the right conferred on him. As a result, he will not be able to use his user profile for unlawful acts, including the commission of offenses.
Users must refrain from any act likely to impede general access to the platform and compromise the reliability and security of the platform. The User agrees not to perform any manipulation that could impose a disproportionate burden on the infrastructure of Polaris platform.
The User is solely responsible for any virus or harmful file that he adds to Polaris platform. Any breach of this provision shall be reported to Rotary.
Any User is personally responsible for any content that he adds to Polaris. Therefore, the User must ensure that this content is not contrary to public order or morality, the legislation in force, the rights of third parties and other Users, the "rules of normal conduct" and does not constitute a violation of the intellectual property rights of third parties. Normal rules of conduct include abstention from deceptive, malicious or discriminatory behaviour. Similarly, Rotary is not required to verify the information in this regard a priori.
Users are also required to respect the rights of other Users. It is forbidden for any User to systematically or extensively collect the content or information of other Users. Any User must also refrain from unauthorized advertising and any form of illegal or unauthorized marketing on Polaris.
The User must abstain from any act contrary to these Terms and Conditions or from the good faith use of Polaris platform. Rotary will in no way be held responsible for any such actions and any damages they may cause to third parties or other Users.
Any form of unlawful behaviour gives rise to sanctions against the User. Rotary reserves a wide discretion to take reasonable measures, including the ability to terminate the right of use granted to the User immediately and without further form requirements. In addition, Rotary may take the (extra) judicial steps necessary to obtain compensation for the harm suffered.
5 Responsability of Rotary
Rotary is committed to taking all necessary technical and legal steps to ensure the proper functioning and security of the platform. Rotary demonstrates a realistic attitude to its platform, and hereby expressly states that its responsibility cannot be questioned in the following cases. Polaris is made available "as is". All Users are aware that they use the platform at their own risk.
Therefore, Rotary cannot guarantee that its platform will be accessible at any time, nor that any interruption or disruption of the service will occur. If necessary, Rotary will resolve the problem as soon as possible. Rotary cannot therefore be held responsible for any type of direct or indirect damage resulting from such interruptions or disturbances.
Rotary cannot be held responsible for the actions of Users and third parties, whether or not the use of the platform is illegal and / or abusive. Notwithstanding all reasonable precautionary measures, it is not inconceivable that Users' data may be subject to loss, theft, unauthorized access, unauthorized alteration or any other harmful act. Rotary cannot be held responsible.
The platform may contain links to other websites operated by third parties. These websites are completely independent of Polaris and the fact that these sites are mentioned does not imply that Rotary approves or recommends them. Because Rotary does not control any content or technology on these websites, Rotary cannot be held responsible for any direct or indirect damages resulting from the use of these external websites.
Rotary cannot be held responsible for contents loaded and/or published by a user on Polaris.
6 Price
The use of the platform is billed by the RCS from Switzerland to the different districts according to the number of clubs they group and at the rate of one package per club per year.
The way districts bill clubs or members differs from one to the other.
Payment is currently made by bank transfer but may eventually be made on Polaris website.
7 Intellectual property rights
Polaris contains data and files from Rotary, Users, and third parties that are protected by applicable intellectual property rights legislation. Intellectual property rights include copyright, trademark law, design rights, data bank law and any other (intellectual property) right in force.
The use of Polaris does not imply an assignment of said intellectual property rights to the User. The use of protected data and files is limited to the general purpose of Polaris as described in these Terms and Conditions.
The User who adds content to Polaris expressly declares that he has the necessary intellectual property rights or authorization. For any content subject to intellectual property rights, the User grants a non-exclusive, transferable, royalty-free and worldwide license to Rotary for the use of this content under Polaris.
This license does not automatically terminate upon expiration of the individual right of use, which implies that the content remains in principle visible by Rotary and Users. Rotary commits to terminate this license at the written and personal request of any former Polaris User. This commitment implies the removal of content that will no longer be visible by other Users
Any User shall refrain from any infringement of these intellectual property rights, except in cases where an authorization has been granted. In any case, the User must leave intact the mentions and / or notifications relating to the intellectual property rights.
8 Privacy and processing of personal data
8.1 Generality
The personal data provided by the User are collected and processed by Rotary. Rotary assures its Users that it attaches the utmost importance to the protection of their privacy and their sensitive or non-sensitive personal data, and that it always undertakes to communicate clearly and transparently on this point. Rotary undertakes to comply with applicable legislation, in particular the RGPD (General Regulation on Data Protection). You will find more information about the processing of your personal data in our Privacy Policy.
Rotary processes personal data as long as necessary to perform the service. From the moment the User decides to stop using the service, Rotary must terminate any processing of personal data, other than necessary for the deletion or return of data to the User.
Whenever possible, Rotary shall assist the User in fulfilling his obligation to respond to requests for the exercise of the rights of data subjects: right of access, rectification, erasure, and opposition, right to limitation of processing, right to portability of data, right not to be the subject of an individual automated decision (including profiling). Rotary International (RI) retains some data from a deceased or departing Rotary member such as his name, first name his date of birth this as information of the members.
Rotary is authorized to make one or more copies and / or back-ups of personal data. The personal data concerned enjoy the same protection as the original personal data.
Rotary keeps a record of the processing activities performed for the User. This register may be in electronic form. It must contain all the information referred to in Article 30.2. of the General Data Protection Regulation.
Rotary guarantees that its personnel will have limited access to personal data only to the extent that such access is necessary to perform service execution operations. Rotary staff are also subject to a confidentiality obligation regarding the processing of personal data. Rotary is committed to informing its staff about privacy legislation and contract provisions.
8.2 Confidentiality
Under the General Data Protection Regulations, Rotary is under an obligation of confidentiality with regard to personal data processed in connection with the service. This confidentiality obligation applies equally to Rotary staff and any future subcontractors and their own personnel.
This obligation of confidentiality takes effect as soon as the storage of the User's backups of data by Rotary is put into service.
This confidentiality obligation does not apply when Rotary is required to disclose personal data to the supervisory authority, by virtue of a legal provision or judicial decision, when the information is already known to the public, or where the communication of personal data has been authorized by the User.
8.3 Security measures
Under the General Data Protection Regulation, Rotary undertakes to implement technical and organizational measures (hereinafter "the security measures") to protect personal data against destruction, either by accident, whether unlawfully, against loss, fraud, dissemination or unauthorized access or against any other form of unlawful processing or use.
These security measures guarantee a level of security adapted to the risk that the treatment entails. In determining the appropriate security measures, the Parties shall take into account the state of the art, the costs of implementation and the nature, scope, context and purpose of the processing as well as the risks to the rights and freedoms of the persons concerned.
Rotary strives to make every reasonable effort to ensure that their processing systems and services meet the requirements of ongoing confidentiality, integrity, availability, and resiliency, taking into account the state of the art and the costs of implementation.
8.4 Notification of a data breach
Under the GDPR, Rotary notifies the User of any violation of personal data as soon as possible, and no later than 24 hours after having read it. This notification is accompanied by any useful documentation to enable the User, if necessary, to notify this violation to the data protection authority and / or to the persons concerned. Rotary must communicate to the User the following information: the nature of the data breach, the categories and the approximate number of persons involved, the categories and the approximate number of personal data concerned, the likely consequences of the data breach and measures taken to remedy the data breach or to mitigate any negative consequences.
At the request of the User, Rotary notifies the data breach in the name and on behalf of the User to the supervisory authority as soon as possible and, if possible, not later than 72 hours after finding the violation, unless the violation in question is not likely to create a risk for the rights and freedoms of natural persons.
At the request of the User, Rotary notifies the data breach in the name and on behalf of the User to the persons concerned as soon as possible, when this violation is likely to create a high risk for the rights and freedoms of individuals physical.
The decision whether or not to inform the data protection authority and / or data subjects of a data breach lies with the User.
8.5 Subprocessing
Rotary must ensure that the subprocessor provides the same guarantees for the implementation of appropriate technical and organizational measures, so that the processing meets the requirements of the General Data Protection Regulation, including Article 32 of the GDPR.
9 Force majeure
In case of force majeure, Rotary is not obliged to respect its commitments to other parties, including Users. Force Majeure means any situation beyond Rotary's control that prevents the performance of all or any of its commitments in the future. This derogation from the performance of Rotary's commitments is only valid during the period of force majeure.
10 Applicable law and competent jurisdiction
These General Conditions are governed exclusively by European law, Spain being the reference. Any dispute resulting from the contractual or non-contractual obligations of these General Terms and Conditions will be submitted to the courts of the Canton of Zurich (Switzerland).
